Prizes are non-transferable and non-exchangeable for cash. If a Participant refuses to accept the prize, the Organiser shall be entitled to revoke or cancel such prize.

The Winning Team shall not be permitted to replace any Participant for the First Prize. All Participants of the Winning Team and the Winning Team itself must fully comply with the conditions of the First Prize (as set out in Appendix 2), these Terms and Conditions, as well as the policies and regulations of the Organiser (collectively referred to as the “Prize Conditions”).

If all Participants of the Winning Team are unable to receive the prize or fail to meet the Prize Conditions, the Organiser shall be entitled to revoke the title of Winning Team and the First Prize, and to award the title and First Prize to the next highest-ranked team in the Tournament. No alternative prize shall be awarded to the original Winning Team in such circumstances.

If any Participant of the Winning Team is unable to receive the prize or fails to meet the Prize Conditions, the Organiser shall be entitled to withhold, revoke or cancel the prize of such Participant. 9.3. Where required by law, the Organiser reserves the right to withhold and remit to the relevant tax authorities any taxes payable.

9.4. In addition to the foregoing, Participants shall remain fully responsible for any and all taxes, fees, charges and penalties (if any) arising from any failure to comply with their tax obligations in accordance with applicable laws. The Organiser, sponsors, and related parties bear no liability whatsoever in respect of such non-compliance.

Article 10. Compliance with Organiser’s Policies and Regulations

The Organiser’s decision shall be final.

Article 12. Changes, Cancellation and Termination of the Tournament

12.2. The Organiser reserves the right, without stating any reason, to cancel or terminate the Tournament at any time.

12.3. In the event that the Organiser is prevented from commencing or continuing the Tournament, or awarding the First Prize or any other prize as contemplated due to any Force Majeure Event – including but not limited to fire, flood, natural or man-made epidemics, pandemic, public health crisis, earthquake, explosion, labour disputes or strikes, acts of God, equipment or satellite failures, riots or civil disturbances, terrorist threats or activities, war (declared or undeclared), any applicable laws, orders or regulations of any governmental authority, court orders, or any other cause beyond the reasonable control of the Organiser – then, subject to any governmental approvals that may be required, the Organiser shall have the right to modify, suspend or terminate the Tournament, or the awarding of the First Prize or any other prize. If the Tournament is cancelled or terminated before the race takes place, such that no Winning Team can be determined, neither the First Prize nor any other prizes shall be awarded.

Article 13. Waiver, Release of Claims and Limitation of Liability

All Participants acknowledge and agree that they fully understand all risks associated with participation in the Tournament and voluntarily participate at their own risk, bearing all risks arising during their participation.

Participants agree that the Organiser shall not be liable, under any circumstances or in any manner, for any errors, omissions, losses or damages suffered by Participants, whether directly or indirectly arising from participation in the Tournament.

Participants agree to release and hold harmless the Organiser from any and all claims, demands, disputes or legal actions, including but not limited to damage to or loss of property, arising out of participation in the Tournament, inability to participate in related activities, or the receipt, use or misuse of the First Prize or any other prize.

The Released Parties shall not be responsible for: (i) any incorrect information caused by Participants, printing errors, or equipment/systems associated with the Tournament; (ii) technical failures of any kind, including interruptions, disconnections, or hardware/software failures; (iii) unauthorised human intervention or human error in the registration process; (iv) technical or human error in administering the Tournament or processing entries; (v) late, lost, damaged or stolen mail; (vi) any injury or damage to persons or property arising directly or indirectly from participation in the Tournament or the receipt, use or misuse of any prize; or (vii) any costs, injuries, losses or damages of any kind, including death or bodily injury, arising in whole or in part from participation in the Tournament or related activities, or from acceptance, receipt, possession and/or use or misuse of the First Prize or any other prize.

Such screening may take place at any stage (including registration, during the Tournament, prize awarding, trip organisation, or other times) to identify any conflicts of interest or adverse events (including money laundering, corruption and other financial crimes) associated with the Participant or their employer. The Organiser is not obliged to verify the finality or accuracy of any allegations. The Organiser reserves the right, at its sole discretion, to refuse/terminate participation or revoke/withhold prizes based on screening results without providing reasons or evidence. Participants and their employers agree not to contest or make claims against the screening results or Organiser’s decisions;

(iii) complying with the Organiser’s legal obligations; and

(iv) other lawful purposes under these Terms and Conditions and the Privacy Policy.

Article 15. Use of Images, Promotional Activities, Public Announcements and Intellectual Property

By signing the Disclaimer, Release and Waiver, Participants agree that the Organiser, its affiliates and organising partners/vendors have the right (but not obligation), without limitation of scope, duration, prior approval or compensation, to use photographic images, video footage, audio recordings or likenesses of Participants across all media (now known or future developed), including live streaming or broadcasting on television, social media and online platforms (Facebook, YouTube, TikTok, etc.) to operate and promote the Tournament and for reasonable commercial activities worldwide.

All promotional images and materials produced by the Organiser and/or its agents/service providers featuring Participants, winning Participants, or prizes shall be the property of the Organiser.

Participants acknowledge that they are solely responsible for ensuring that participation in such activities does not breach any third-party agreements (e.g., brand exclusivity). The Organiser bears no liability for any such breach by Participants.

Article 16. Governing Law

The Tournament, these Terms and Conditions, and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Vietnam. This choice of governing law does not deprive Participants of protection afforded by mandatory provisions of the laws of their country of residence.

Article 17. Jurisdiction

Participants and the Organiser submit to the jurisdiction of the courts of Vietnam.

These Terms and Conditions, together with the Disclaimer, Release and Waiver signed by the Participant, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
